Vice President, Corporate Legal

Remote Opportunity

Our client, a global software security company, is searching for an experienced Vice President to lead their corporate practice globally. This role reports to the Chief Legal Officer.


  • Support Chief Legal Officer in developing and implementing appropriate “best practice” corporate governance policies and procedures, drafting Board committee charters and guidelines, reviewing Board materials, and counselling Board and senior management regarding the foregoing
  • Support Chief Legal Officer and Chief Financial Officer in compliance with public company reporting obligations, including preparation and filing of annual and interim reports, proxy statement and coordination of annual shareholder meetings and materials
  • Provide legal support for earnings releases and other press announcements, media and investor presentations and other corporate-related disclosures
  • Establish and lead the Company’s securities compliance program with corporate governance policies including Insider Trading and Regulation FD policies
  • Support the company's Disclosure Committee, disclosure controls and procedures and internal controls over financial reporting
  • Manage and drive M&A transactions, including structuring, negotiations, due diligence and transaction documents and advise senior management regarding the foregoing
  • Build and manage the corporate legal team
  • Advise Finance department on treasury policy, negotiating and documenting financing transactions, monitoring compliance with financial covenants under debt instruments and documenting intercompany corporate transactions
  • Support Human Resources in matters relating to executive compensation, equity-related and other compensation plans
  • Serve as a resource to all members of the legal team in addressing corporate issues as they impact or apply to their areas of responsibility
  • Support the continuous improvement of standard form agreements, playbooks and legal processes


  • JD and bar membership in at least one state
  • 15+ years of relevant experience, including in-house experience with a high-tech company
  • Deep experience with corporate governance, M&A, securities laws and executive and equity compensation
  • Experience structuring M&A transactions, drafting and negotiating transaction documents and managing post-closing integration
  • Strong interpersonal skills with an ability to successfully interact with senior management
  • Proven ability to translate technical knowledge into pragmatic advice that appropriately balances legal risks with commercial needs
  • Self-starter with ability to execute tasks efficiently with sound business judgment and attention to detail
  • Ability to manage and prioritize a complex workload is essential for this role
