Senior Commercial Counsel

Bay Area: San Francisco

Our client, a privately held leading global analytics company, is looking for a high-energy technology lawyer specializing in commercial contracts activities to join the General Counsel in support of the company’s growing global business. In this role, you will manage one attorney. The company is expanding its Legal team to support accelerating growth in sales, product development and distribution channels. The role requires a self-starting, athletic mindset to partner with colleagues internationally and to work cross-functionally at all levels of the organization. The company is looking for a passionate and professional team player who is detail-oriented, enthusiastic, diligent, resourceful and wants to be part of a close and collaborative legal and compliance team.

Responsibilities:

  • Manage all aspects of the commercial function across customer, vendor and partner activities globally while building scalable, sustainable Legal and non-Legal operations and platforms.
  • Work closely with the company’s executive and management teams to support business expansion activities.
  • Advise business teams on various legal issues and risks, business strategies, complex commercial deals and other issues related to data technology transactions.
  • Expand in existing commercial function activities to develop a best-in-class function, able to scale from “20-200-2000” contracts per quarter using a combination of automated tools, external support and efficient operations.
  • Manage expansion of commercial licensing framework globally for both enterprise sales and online sales, which includes development of distribution channels and partnerships.
  • Lead drafting, negotiation and revision of contracts relating to global initiatives, customers, partners, resellers, alliances, professional services, support and OEM arrangements.
  • Lead the legal expansion in key international jurisdictions and draft and negotiate a variety of complex technology transactions that are both domestic and international in scope.
  • Handle vendor drafting, negotiation and revision of contracts for key platform and product activities, including participating in trade sanctions export compliance programs.
  • Work closely and provide legal support to international offices.
  • Provide legal guidance to marketing, website and social media teams.
  • Expand on the Company’s framework for commercial matters, including integration of licensing, IP, privacy and cybersecurity.
  • Expand and operate contract management operations.
  • Partner with privacy and product Legal and compliance colleagues on all aspects of commercial contracting activities.
  • Develop compliance programs, policies and training, as needed.
  • Perform other related duties as assigned by General Counsel.
  • This role can expand into privacy, data security, data licensing, open source and corporate matters, depending on interest.  

‪‬‬‬‬‬‬‬‬‬‬‬Requirements:

  • JD from an accredited U.S. law school, active license to practice law in California
  • Proven ability to build relationships remotely required.
  • Minimum of 5-10+ years of experience practicing law at a law firm and in-house required.
  • Experience translating product technology requirements into commercial contracts.
  • SaaS technology experience required and analytics experience preferred; must be comfortable to learn sophisticated technology stacks.
  • Proven track record negotiating a range of complex commercial agreements, including sales, IP licensing, vendor, partnerships, and marketing.
  • Strong experience with enterprise sales, and highly customized products and implementation activities preferred.
  • Prior experience with privacy, data protection regulations is highly desirable.
  • Ability to work independently, set priorities, meet deadlines and resolve complex problems.
  • Willingness to be flexible and adaptive in a highly dynamic environment.
  • Strong analytic, advisory and leadership skills.
  • Outstanding communications skills with the ability to interact effectively with executives and all levels within the organization.
  • Exhibit initiative and assertiveness in obtaining information needed.
  • Maintain the highest standards of ethics and professional integrity.
