Privacy / Transactional Attorney

One of the top law firms in the nation is seeking a Privacy/Transactional Attorney to join their Risk & Compliance Team. The role of the Privacy and Transactional Attorney entails drafting, revising, and evaluating a range of contracts, including those pertaining to business, vendors, clients, and service providers, with an emphasis on privacy-related terms. The attorney will also offer guidance to the Data Processing Officer in interpreting privacy regulations and developing policies and procedures to ensure compliance. Demonstrating strong negotiation skills and a deep understanding of global privacy regulations is vital, along with a focus on prioritizing client service and satisfaction across all aspects of the position.

Responsibilities:

  • Provide expertise on privacy matters for business projects and initiatives
  • Develop and update privacy policies and procedures for the organization to align with relevant regulations such as GDPR and CCPA.
  • Create, review, and negotiate various types of business contracts in support of the firm's objectives and policies. Take the lead and collaborate throughout the contracting process, analyzing significant business, privacy, financial, and legal risks. Develop innovative solutions and strategies for key negotiation points. Contract types may include software agreements, professional services contracts, master service agreements, SOW documents with contract terms, cloud services contracts, DPA (data protection agreements), and more.
  • Utilize advanced knowledge of contract laws, global privacy regulations, firm policies, processes, and industry best practices to facilitate successful contract closures and establish a strategic position for future needs.
  • Safeguard the firm's business interests by incorporating appropriate provisions in contracts to address and resolve disputes between parties. Clearly document potential areas of conflict, such as payment terms, assignment rights, liability limitations, indemnification, etc., to minimize the likelihood of disputes.
  • Collaborate with department representatives and firm leaders to understand upcoming contract requirements for new deals and renewals. Prioritize deal support during the planning process and implement legal strategies that focus on high-value activities.
  • Ensure that key contracts, firm procurement initiatives, and sourcing strategies align with the overall priorities of the firm's legal function, with particular attention to privacy/data security and risk management practices as they evolve. Keep track of firm policy decisions and ensure that policies and contract preferences are incorporated into contracts. Identify potential risks in business transactions and escalate them appropriately.
  • Show comprehension of the policies and practices of independent auditors and insurers, as well as their role in ensuring compliance and evaluating risk.

Requirements:

  • Possession of a Juris Doctor degree from a law school accredited by the American Bar Association
  • Active membership in good standing with the state bar where the attorney resides.
  • At least four years of experience in contracts, negotiation, or a similar field in a large law firm or corporation.
  • A minimum of three years of experience in negotiating privacy requirements under US privacy laws, including HIPAA, GDPR, and/or CCPA.
  • Proficiency in drafting privacy policies and procedures to comply with relevant data privacy laws and regulations.
  • Experience in drafting various types of agreements, such as technology, purchase, sale, software license, content license, outsourcing, professional service, real estate leases, general contractor, and architectural agreements.
  • Advanced knowledge of significant laws, processes, and industry practices related to business contracts and leases.
  • Advanced understanding of GDPR and/or CCPA regulations.

Pay range for this role, with final offer amount dependent on skillset and experience: $165,000 to $195,000 annually.
