Principal Counsel, Securities – Arm

San Jose, CA / Hybrid

Our client, Arm, is looking for an experienced attorney with top-tier legal skills and sound business judgment to join their legal team. This person will have a primary focus on public company work, including drafting and reviewing SEC filings, corporate governance, as well as supporting on M&A. Arm is a global company, and the day-to-day work for this position requires collaboration with many levels of employees across the world, as well as excellent time management skills to prioritize and efficiently manage workloads in a fast-paced environment.

Based in San Jose, California, you will report to the Deputy General Counsel, Corporate and will have exposure to senior business leaders throughout the organization. You will advise on legal risk, business strategy, and other issues. The ideal candidate will be a collaborative attorney who enjoys problem solving and possesses exceptional business judgment, creativity, persuasive writing capabilities, high emotional intelligence, and an ability to work independently. A successful candidate also can handle a variety of projects simultaneously and embrace teaming on cross-functional projects that touch on a variety of legal issues.

Responsibilities:

  • Assist in preparing SEC and other public disclosure documents, including for a foreign private issuer
  • Work closely with senior executives, Finance and Investor Relations regarding SEC periodic and current reports, participate in disclosure committee meetings and assist with public company communications, including press releases, investors presentations and analyst calls
  • Assist with the public company secretarial function, including preparing materials for the Board, Board committees, and other governance matters
  • Support internal audit and SOX compliance
  • Assist with employee and director equity matters, including regarding insider trading policy and procedures and 10b5-1 plans
  • Support M&A activities
  • Review, draft and negotiate various corporate transactional documents and agreements
  • Identify and inform appropriate partners of business and legal risks
  • Support other Legal team members, including related to issues outside of corporate securities and governance
  • Facilitate cross-functional relationships and decision-making among the Legal team and other internal business teams
  • Manage outside counsel

Requirements:

  • 5+ years relevant experience with a top-tier U.S. law firm in handling complex corporate securities matters, corporate governance, M&A transactions, preferably involving technology companies.
  • JD degree from an accredited law school with excellent credentials
  • Active member in good standing with the California bar
  • In-house experience is preferred, especially if it includes exposure to other substantive legal areas, but is not an essential requirement for the right candidate.
  • Ability to work at pace and negotiate effectively with persons at various levels of experience while building strong and lasting relationships based on mutual trust

Compensation:  Arm is committed to reward people competitively and equitably for the work they do and the skills and experience they bring to Arm. Salary is only one component of Arm’s offering. The salary range for this position in the U.S. is $230,000 - $275,000 per year. The total reward package will be shared with candidates during the recruitment and selection process.
