Chan Zuckerberg Initiative (CZI) is a new kind of philanthropy that’s leveraging technology to help solve some of the world’s toughest challenges – from eradicating disease, to improving education, to reforming the criminal justice system. Across the three core Initiative focus areas of Science, Education, and Justice and Opportunity, CZI is pairing engineering with grantmaking, impact investing, policy work and movement building, to help build an inclusive, just and healthy future for everyone.

CZI is seeking a passionate, highly motivated, team player to serve as their first Investments Counsel to be part of CZI’s Legal and Grants Team and an integral partner with CZI’s Investment Team. This candidate will possess a proactive, entrepreneurial attitude, who rolls up her or his sleeves to build a world-class investment function from a legal perspective. You will be part of the growing Legal and Grants Team working with educators, scientists, criminal justice reformers, and changemakers to help CZI achieve its ambitious mission of creating a future for everyone.

CZI’s Investment Team is a new team within CZI. The Investment Team’s goal is to build a world-class investment portfolio that will deliver superior risk-adjusted returns to fund CZI’s ongoing philanthropic operations over the long-term. The investment program pursues a “manager of managers” approach, scouring the globe to find extraordinary investment organizations that invest across a wide spectrum of styles and asset classes.

You will be responsible for both day-to-day management of legal issues related to CZI’s investing and management of global funds, including its Donor Advised Fund and Private Foundation, as well as building CZI’s legal systems, processes, and tools to support our Investment Team.

You also will be responsible for providing legal support to CZI’s Impact Investing Team (aka venture portfolio) as well as assisting with CZI’s corporate governance matters. You will design, build and implement systems and processes so that they are efficient and effective, and everything is ticked and tied.

  • Provide leadership, management, and operational expertise with the objective of building and running best in class legal support for the Investment Team and Impact Investment Team  
  • Develop and implement systems, policies, and procedures to support the investment operations function and corporate governance. Build, execute, and be responsible for legal support, from an architecture, building, and execution perspective
  • Review, draft, and negotiate agreements and other documents relating to domestic and foreign private investment funds, separately managed accounts, and co-investment vehicles.
  • Review, draft, and negotiate investment management, advisory and/or consulting agreements.
  • Monitor and advise on domestic and foreign legal, regulatory, and compliance matters related to investment matters
  • Maintain up-to-date knowledge of applicable laws, regulations and industry best practices (or create our own CZI-best practices), and work to ensure organizational adaptation and compliance
  • Develop, maintain, and advise on investment policies, guidelines and compliance measures.
  • Support operational due diligence
  • Work with outside counsel, investment professionals, and members of the investment operations and impact investment teams on complex investment structures and other relevant business issues
  • Spearhead the legal aspects of M&A, if any
  • Execute on both routine and complex tasks and projects, and appropriately balance operational priorities and risk
  • Provide strategic and practical advice with the goal of maintaining a nimble and responsive approach while balancing the needs of a scaling organization
  • Identify and own projects that contribute to the Legal and Grants team and/or the greater CZI team  


  • JD required. Bar admission and in good standing in at least one state, preferably California
  • 10+ years of relevant law firm and in-house experience
  • Experience implementing systems to support an investment office, and preferably setting up those systems
  • Expertise in fund/asset management experience in the areas of hedge funds and private equity, including asset management documentation, investor-side review and negotiation of investment fund agreements, such as  private equity partnerships, separately managed accounts, and co-investment vehicles and more mundane, albeit important documents, such as NDAs
  • Expertise in legal aspects of venture capital
  • Experience in corporate governance
  • Detail oriented and superb organizational skills
  • Familiarity with regulatory and compliance issues associated with investment-related activities
  • Ability to work collaboratively in a team environment in a highly matrixed organization with internal and external contacts at all levels
  • Demonstrated ability in successfully taking initiative on projects with a high degree of responsibility and complexity
  • Strong written and oral communication skills to, among other things, keep relevant stakeholders informed, while maintaining confidentiality
  • Exceptional judgement and demonstrated ability to balance competing priorities while efficiently executing multiple projects
  • Comfort speaking and writing about complex matters with sufficient simplicity and pragmatism to communicate clearly with both legal and non-legal partners across all levels of the organization
  • Flexibility to adjust to rapidly changing environments
  • A learning and growth mindset coupled with humility and mission-oriented sensibilities
  • Sense of humor, initiative, and an ability to roll up your sleeves on both big and small projects
