MoonPay is looking for a Deputy General Counsel, Commercial to manage the commercial legal function. Reporting directly to the Chief Legal and Administrative Officer, this person will work with internal stakeholders and various business teams providing commercial legal support to a growing organization.  We are working with some of the most iconic brands in fashion, music, culture, art and business, and this role will interface with those clients to pioneer partnerships in the developing web3 space.  This person will be responsible for managing these unprecedented commercial deals as well as partnering with the business to build strong contract processes.

Responsibilities:

• Draft, review and negotiate complex legal documents including SaaS agreements, MSAs, partnership, M&A, vendor and other commercial contracts, and manage the contract process from drafting to execution.
• Manage legal requests from all areas of the business, summarizing, communicating, and advising on legal concepts in support of business partners and company executives;
• Analyze the legal risks of the evolving crypto landscape
• Assist with corporate governance matters, including maintaining subsidiaries, tracking filing obligations, drafting board and shareholders meeting materials and other corporate matters;
• Stay up-to-date and keep teams advised on relevant updates in blockchain-related U.S. and international laws and regulations.

Requirements:

• J.D. or LLM and active membership with a state bar and eligible to practice in any U.S. state.
• 8+ years of experience at a top-tier law firm and/or an in-house legal team, preferably in a financial services industry, web3, or with a Fintech company.
• Strong preference for tech start-up experience and in-house experience.
• Experience with SaaS agreements and products a major bonus.
• Experience in general corporate and securities matters (e.g. SEC “Howey Test” application) are a plus.
• Enthusiastic about blockchain technology and have basic understanding (or eager to learn) about the relevant legal/regulatory landscape.
• Comfortable working independently in a fast-paced, growth-stage environment.
• Ability to work well with others and to thrive in a team-oriented, collaborative and high functioning legal team
• Ability to navigate through legal ambiguity with high degree of focus
• A proven and accomplished manager, leader and team-builder.

Compensation Information:

• MoonPay's estimated annual base salary for this position is $250,000. The actual base pay is dependent upon many factors, such as: training, transferable skills, work experience, business needs and market demands.
