Our client, a publicly traded technology company, is seeking a business-minded lawyer to join their team as Counsel, Corporate Securities. This role will report to the lead corporate securities counsel at the company.  

Responsibilities:

• Ensure compliance with securities laws, rules, and regulations, including listing requirements and all public filings;
• Provide legal oversight of quarterly earnings and investor relations related disclosures and advise on shareholder related matters;
• Manage processes related to quarterly and ad hoc Board and Committee meetings, and ensure corporate governance best practices;  
• Support corporate-related tasks, such as insider trading compliance, drafting compliance certificates, advising on director & officer matters, etc.; and
• Provide general advice and counsel to business partners in Finance, Accounting, Equity Administration, Tax, Insurance, and Investor Relations teams.

Requirements:

• 5+ years of experience as a corporate securities lawyer, working in-house at a public company, at a law firm, or a combination of both.

Compensation:

• The salary range for this role is $190,000 per year - $210,000 per year + equity.
