Associate General Counsel, Securities and Corporate Governance - Proterra

Remote Opportunity

Proterra –Associate General Counsel, Securities and Corporate Governance (Remote or Hybrid in Greenville, SC or Burlingame, CA)

This role will lead the securities and corporate governance function and provide support to all aspects of Proterra’s public company obligations. As the lead corporate attorney, this role will report to the Chief Legal Officer and Secretary. As Proterra expands their business to drive the next transportation revolution, your ideas, strategic thinking, and contributions will make an immediate impact. Proterra is looking for someone with a practical and creative legal mind, strong substantive expertise, impeccable attention to detail, curiosity, and a desire to tackle new and exciting challenges for a newly public company.

Responsibilities:

  • Work collaboratively to prioritize goals and manage the legal aspects of being a public company, including implementation of the corporate governance policies.
  • Manage the corporate legal function for the company as well as advise on corporate governance matters, financings, mergers and acquisitions and other related matters.
  • Establish best practices for the corporate legal function.
  • Work on SEC filings, including 8-Ks, 10-Ks, 10-Qs, proxy statements, and S-8s.
  • Oversee and manage the Stock Administration function, including the equity grant process and the Employee Stock Purchase Plan.
  • Manage Section 16 reporting obligations.
  • Collaborate with Finance, Investor Relations, and Communications teams on external disclosures, including quarterly earnings letters and press releases.
  • Administer the Insider Trading Policy and 10b5-1 plans.
  • Draft Board and Committee minutes and resolutions.
  • Ensure compliance with SEC and Nasdaq rules and regulations.
  • Work with the finance group on capital markets and debt financing matters.
  • Work cross functionally on environmental, social, and governance (ESG) matters.
  • Assist with special corporate projects and other duties as assigned.

Requirements:

  • 10+ years of experience as a corporate attorney with law firm and in house experience.
  • Law degree with excellent credentials.  
  • Current state bar membership in good standing required.
  • Significant corporate and securities law experience, very facile with SEC and Nasdaq governance and disclosure rules.
  • Experience working with newly public companies and large public companies.
  • Experience working in technology and manufacturing companies.
  • Corporate securities work with a national law firm.
  • Demonstrated ability to work with Boards of Directors.
  • Energetic and creative problem-solver with excellent project management skills.
  • Skilled communicator. Quick on your feet with a demonstrated ability to build consensus for decisions and efficiently resolve matters.
  • Ability to present to Executive Team and business leaders
  • Strong sense of accountability, integrity and willingness to take ownership over projects and be a proactive partner, anticipating issues and bringing them to light.
  • Ability to work under tight deadlines and manage multiple demands, priorities, and complex projects simultaneously, with minimal supervision.
  • Strong team player who is willing to learn the business and ask many questions.
  • Work collaboratively with individuals at all levels of the organization and have a love of teaching employees about Proterra’s equity plans, corporate policies, and responsibilities for securities compliance.

  • Ability to work under significant pressure while maintaining a sense of humor

  • This position will be part of the Legal/Corporate Communications team that supports all aspects of Proterra’s public company obligations.
  • You will report to the Chief Legal Offer and collaborate with other Legal and business team members located at their headquarters in Burlingame, CA and manufacturing facilities in California and South Carolina.

Proterra’s estimated annual base salary for this position is $200,000 – $260,000. This position is also eligible for participation in Proterra’s bonus program and may be offered an equity award.
