Associate General Counsel, Commercial

Our client a Series A, SaaS company is seeking an intellectually curious and action-oriented professional to be their #2 attorney on their legal team. Reporting to the General Counsel, this individual will be a strategic business partner that loves working with sales teams and be an integral member of the Legal Team.

Responsibilities:

  • Lead and support the sale of the company’s products and services, partnerships and vendor agreements
  • Draft, review, negotiate, and advise on a wide verity of commercial agreements; including SaaS agreements, licensing agreements, master services agreements, master services agreements, reseller agreements, vendor agreements, professional services agreements, master services agreements, marketing agreements, and NDAs
  • Work closely with sales team on contract negotiating, best practices, deal structure
  • Oversee the development of agreement templates and playbooks for the Commercial Legal Team to drive scale, cross-functional efficiencies, and offer creative solutions where appropriate
  • Provide practical legal advice to the business and develop strong working relationships across the Company with senior management, cross-functional peers and other business stakeholders
  • Help the development and implementation process on a company wide contract management system to optimize processes globally for multiple products and services
  • Provide sound legal and business advice to Sales team members and members of senior management regarding strategic business relationships
  • Provide practical legal advice to the business and develop strong working relationships across the Company with senior management, cross-functional peers and other business stakeholders

Requirements:

  • J.D. from an accredited law school and good standing to a state bar
  • 5+ years law firm or inhouse experience; relevant experience at a technology or enterprise SaaS company preferred
  • Demonstrate experience drafting and negotiating contracts, with an emphasis on understanding SaaS, licensing, and technology agreements
  • Demonstrated ability to work efficiently and independently, prioritize workflow, meet demanding deadlines, and manage multi-faceted projects and think and act strategically
  • Sound business judgment and strategic thinking, with ability to define business tradeoffs, generate creative solutions and anticipate the impact of decisions in a dynamic start-up environment
  • Phenomenal ability to communicate clearly and effectively with customers, executives, senior management and cross-functional teams and colleagues inside and outside the organization  
  • Excellent oral and written communication skills, with the ability to distill complex legal considerations into practical, actionable and concise advice
  • Proven track record of learning quickly, taking initiative, working proactively, being resourceful, and taking on additional responsibility
  • Ability to be humble, unflappable and flexible under pressure
