Transactions and Licensing Counsel – Optical Components Company
South Bay

Publicly traded optical components company is seeking an experienced Transactions and Licensing attorney to join its’ five person legal team. Responsibilities:

The ideal candidate will handle a broad range of international supply chain agreements and all activities associated with conducting business across the world (development agreements, partnering relationships, and contract manufacturing agreements) in a small but quickly growing company.

Requirements:

• 6-8+ years’ of direct experience as a transactions/licensing attorney in an manufacturing and sales environment.
• In-House legal department experience required.
• Experience working with engineers, international and domestic sales teams
• Proven expertise in exercising good business judgment, excellent interpersonal skills and team oriented.
• Excellent communication and presentation skills.
• Organizational skills and ability to create agreements facilitating a seamless supply chain from component parts vendors, to contract manufacturers, to contract manufacturers for customers, to customers and their end users.
• In-depth understanding of intellectual property, especially patents, sufficient to draft and negotiate agreements against seasoned IP and patent lawyers of customers and suppliers.
• Ability to pull together engineers, supply chain managers, and salespeople across the world for support in drafting and negotiating agreements
• Recent experience negotiating as a small supplier/vendor seeking agreements with the world’s largest international companies, specifically, Europe, Japan, and China
• Understanding of various certifications standard for component manufacturers (RoHS, ISO, Telecordia, etc.)
• Working knowledge of international laws related to anti-trust, environmental, employment, and intellectual property issues
• Comprehension of issues related to product warranty and liability issues including liability for hazards, products liability and epidemic failures
