Paralegal/Contracts Manager – Software Company
Mid Peninsula

Our client, a provider of global data center services, is seeking a Paralegal/Contracts Manager to join their enthusiastic, informal and fast-paced legal team.

Job Description:

Reporting to the company’s General Counsel, you will work with in-house attorneys to assist with the review, negotiation, organization and management of routine third party contracts, RFP processes and construction contracts in support of the company’s operations procurement and real estate teams. This individual will be based on the mid-peninsula but will also be required to spend substantial time at the company’s south bay offices in support the company’s construction procurement team.

Responsibilities:

• Review and negotiate day-to-day company business agreements such as confidentiality, consulting, IT, facilities, construction, equipment purchase, maintenance and general services agreements.
• Such contracts will include Contracts will include low value day-to-day agreements as well as high value (multi-million dollar) strategic agreements.
• Provide contracting advice to construction managers, procurement team, site managers, and other personnel.
• Maintain a tracking system for contracts and assist in the development of standard form agreements and implementation of processes and procedures for review and approval of day-to-day business agreements.
• Independently review and negotiate agreements.
• Train internal clients on contract forms and procedures and act as a company resource for contract and construction questions.
• Assist with real estate administration.
• Provide general support to the legal team in support of team and company objectives.

Requirements:

• Minimum of 5 years prior experience working with, drafting and negotiating a broad range of contracts, including construction agreements, service agreements, consulting agreements, confidentiality agreements and other day-to-day business agreements.
• Willingness and ability to work with and coordinate activities across a large number of individuals in various departments not only within the Company headquarters, but also throughout the Company domestic and international offices.
• Experience in a firm or company setting focusing on construction contracts or administration is highly desired.
• Excellent time management and problem solving skills.
• Exceptional and demonstrated written and verbal communication skills and organizational skills.
• Team player with a customer service mentality and the ability to relate to employees with a wide variety of personalities and functional expertise.
