Legal Counsel
– Software Company

Our client, a global leader in computer
storage systems, is seeking a Legal Counsel to based in Kuala Lumpur
or Singapore. In this position, you will be responsible for
providing primary legal advice and assistance for the company’s
business in India as well as the company’s businesses in the ASEAN
countries.
Responsibilities:
• Support the contractual process and
advice on commercial contracts and intellectual property law issues
including software licensing and solution services, sales and
distribution models.
• Assist on non-transactional matters such
as dispute resolution/litigation, employment law matters and
compliance and ethics issues.
• Provide legal advice to internal clients
and external legal advisers.
• Draft and negotiate commercial agreements
with customers, partners and suppliers relating to product sales,
services engagements, software licenses, distribution and reselling
arrangements and other ancillary documentation.
• Provide legal support to the business and
assisting in achieving business objectives while managing legal and
contractual risk.
• Advise on ethical and compliance issues
and work to build and enforce internal controls in areas such as
anti-corruption and anti-bribery; provide legal and ethical training
to both local teams and channel partners.
Requirements:
• 3-6 years of experience required; JD from
a top tier law school.
• Extensive transactional experience (law
firm and/or in-house) preferably in IP/IT including preparing and
negotiating commercial contracts for sale of hardware and software
products.
• Must have a commercial and pragmatic
approach and the ability to take complex legal issues and present
them in a way that is easily understood by the business.
• Ability to provide risk analysis to
business partners having regard to the value and complexity of the
relevant transaction.
• Strong contract drafting, negotiation and
legal advisory skills.
• Must be a team player and ability to work
with all levels of business organizations.
• Ability to efficiently and effectively
budgetary constraints.
• Experience working with a global company
or a major regional division of a global company.
• Experience selecting and managing outside
legal resources.
• Proven success in providing legal support
to field sales organizations.
• Ideally, some experience of compliance
issues such as anti-bribery legislation (both FCPA and local laws)
and export compliance legislation.
• Based in Kuala Lumpur or Singapore.
• Travel required on a regular basis to
India and within ASEAN and occasionally, within the wider APAC
region.
• High ethical standards.
